Terms of Service

1. Acceptance and authority

By accessing or using AegisIQ Wealth Ledger, you agree to these Terms of Service and the policies incorporated by reference, including the Privacy Policy, Acceptable Use Policy, Financial & Accounting Disclaimer, and Free Trial, Cancellation and Refund Policy. If you use the service for an organization or another person, you represent that you have authority to bind and act for that customer.

2. Eligibility, accounts, and security

You must be able to form a legally binding contract. You are responsible for accurate account information, protecting credentials and recovery methods, assigning appropriate workspace roles, and activity performed through your account. Notify us promptly of suspected unauthorized access.

3. The service

Wealth Ledger provides software for multi-entity and owner accounting, double-entry bookkeeping, banking and reconciliation, imports, documents, investments, statements, valuations, reporting, transfers, AI-assisted workflows, and related functions. Features, limits, regions, integrations, and availability vary by plan and product status.

4. Customer content and responsibilities

You retain rights in lawful content submitted to the service. You grant AegisIQ Limited and its providers the limited rights necessary to host, process, transmit, back up, and otherwise operate the service. You are responsible for the lawfulness, accuracy, completeness, classification, authorization, and retention of content and for reviewing all automated or AI-assisted outputs. AegisIQ uses only aggregated or de-identified usage information to improve the service and will not use customer content to train generalized or foundation AI models without the customer’s separate, express authorization.

5. No accounting, tax, legal, investment, or financial advice

Wealth Ledger provides accounting and record-keeping software and informational outputs only. It does not provide accounting, audit, tax, legal, investment, valuation, or financial advice and is not a substitute for a qualified professional. You are responsible for filings, elections, reporting positions, and compliance decisions.

6. Imports and integrations

You authorize the service to access and process information from sources you connect or files you upload. Third-party services remain subject to their own terms. You must review imports, mappings, duplicates, opening balances, tax fields, and resulting postings before relying on them.

7. Subscriptions, billing, and taxes

Paid plans, add-ons, one-time services, renewals, and cancellations are billed in U.S. dollars through the payment provider. Applicable taxes are additional and shown where required. Current public plan limits and prices are described on the pricing page. A signed Order Form may state different commercial terms.

8. Trials, cancellation, and refunds

Trial eligibility, automatic renewal, cancellation timing, read-only access, and refund eligibility are described in the Free Trial, Cancellation and Refund Policy. Cancelling a subscription normally takes effect at the end of the current paid period.

9. Acceptable use

You must comply with the Acceptable Use Policy and must not use the service to facilitate fraud, money laundering, tax evasion, unauthorized access, illegal activity, or misuse of another person’s financial information.

10. Intellectual property

AegisIQ Wealth Ledger, its software, workflows, templates, designs, documentation, and branding are owned by AegisIQ Limited or its licensors. Except for the limited right to use the service during an authorized subscription, no rights are granted.

11. Confidentiality

Each party will use reasonable care to protect the other party’s non-public confidential information and will use it only for the agreement, except where disclosure is authorized or legally required. Customer content is treated in accordance with the Privacy Policy and applicable Order Form.

12. Availability and changes

The service is provided on an “as is” and “as available” basis. We may improve, modify, suspend, or discontinue features. We do not guarantee uninterrupted availability, error-free outputs, successful third-party connections, or a particular accounting, tax, legal, valuation, or compliance result.

13. Suspension and termination

We may suspend or terminate access for material breach, security risk, fraud, unlawful conduct, non-payment, or conduct that threatens the service or other users. Where practical, we will provide notice and an opportunity to cure. Post-termination access and export rights are described in the applicable policy or Order Form.

14. Disclaimers and limitation of liability

To the fullest extent permitted by law, AegisIQ Limited disclaims implied warranties and will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, opportunity, or goodwill. Except for the excluded matters below, each party’s total aggregate liability arising out of or relating to the service and these Terms will not exceed the greater of (a) the total fees paid by the customer to AegisIQ Limited for the service in the twelve (12) months immediately preceding the event, or (b) USD 100. This cap does not apply to fraud, willful misconduct, death or personal injury, the customer’s payment obligations, or any liability that cannot be limited under applicable law.

15. Indemnification

To the extent permitted by law, you will indemnify AegisIQ Limited against third-party claims arising from unlawful customer content, your misuse of the service, or your material breach of these terms.

16. Governing law and dispute resolution

These Terms, and any dispute, claim, or non-contractual obligation arising out of or relating to these Terms, the Service, or any Order, are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws rules.

Before starting formal proceedings, a party must give the other party written notice describing the dispute and the relief requested. The parties will use good-faith efforts to resolve the dispute for 30 days after the notice is received, unless urgent relief is reasonably required.

Subject to the exceptions below, the courts of Hong Kong have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Service, or any Order, and each party submits to the jurisdiction of those courts.

Nothing in this section prevents either party from:

1. seeking urgent interim, conservatory, or injunctive relief in any court of competent jurisdiction to protect intellectual property, confidential information, personal data, account security, or the integrity of the Service;
2. bringing an individual claim that qualifies for a small-claims court or tribunal of competent jurisdiction; or
3. recognizing or enforcing a judgment, order, or arbitral award in any court with jurisdiction.

If you are a consumer, nothing in these Terms limits any mandatory rights, remedies, or rights of access to a court that cannot lawfully be waived by contract.

A separate Order Form, master services agreement, or enterprise agreement may provide for arbitration or another dispute-resolution process. If it does, that provision controls for the services covered by that agreement.

17. Changes and notices

We may update these terms. Material changes will be reflected by the “Effective date” and, where appropriate, additional notice. Formal notices may be delivered through the service, email, or the contact information associated with the workspace.

18. Language

These documents may be made available in multiple languages for convenience. To the extent permitted by applicable law, the English-language version is the authoritative and controlling version; if there is a conflict or inconsistency between the English version and a translation, the English version governs. Nothing in this clause limits any mandatory right under applicable law or any requirement to provide legally binding terms in another language.
